EULA - End User License Agreement

Trialware/Demoware Installation Agreement

THIS DOCUMENT IS A LEGALLY BINDING AGREEMENT BETWEEN YOU (AND YOUR COMPANY/ORGANIZATION, IF APPLICABLE) AND INTELLIGENTS, LLC ("VENDOR"), THE DEVELOPER OF NOTEWORTHY VIRTUAL NOTECARDS ("Software"). BY INSTALLING THE SOFTWARE, YOU WILL HAVE AGREED TO BE BOUND BY THE TERMS SET FORTH BELOW.

If you are installing this software as trialware/demoware, you understand that it is your obligation to stop using the Software after 45 days from the installation or purchase it from Vendor or its agents.

LICENSE GRANT AND RESTRICTIONS

Vendor grants you and you accept a non-exclusive license to use this Software but you are not the owner. Vendor is the exclusive owner of the Software.

This license permits you to install and use the demoware/trialware version of the Software on any computer on which you have the right to install software. You may not rent, lease, sublicence or assign use of this Software to others, except as indicated in this License Agreement.

You may not reverse-engineer, reverse compile, disassemble or otherwise modify the Software in any way. You may not attempt to tamper with or disable the trialware features to turn the Software into a Registered copy. You may not remove any proprietary notices that are provided with the Software. Neither the Software nor any underlying information or technology may be exported or re-imported into any country to which the United States has prohibited export.

NO WARRANTIES

You assume responsibility for the selection of the Software to achieve your intended results and for proper installation, use and results obtained from the use of the Software. VENDOR MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WITH RESPECT TO THE SOFTWARE OR THE RESULTS TO BE OBTAINED FROM TIS USE. VENDOR DOES NOT WARRANT THAT YOUR USE OF THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR VIRUS-FREE. ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT ARE HEREBY EXPRESSLY DISCLAIMED. VENDOR EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY THAT ANY OTHER PRODUCT (INCLUDING WITHOUT LIMITATION ANY COPY OF THE SOFTWARE YOU MAY SUBSEQUENTLY PURCHASE) WILL CONFORM TO THE SOFTWARE PROVIDED TO YOU UNDER THIS AGREEMENT.

IN NO EVENT SHALL VENDOR BE LIABLE FOR ANY DAMAGE, INCLUDING WITHOUT LIMITATION DIRECT, SPECIAL, CONSEQUENTIAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, WHETHER OR NOT SUCH DAMAGES WERE FORSEEABLE AND EVEN IF VENDOR WAS ADVISED THAT SUCH DAMAGES WERE_ LIKELY OR POSSIBLE.

Files created with the Software are the sole responsibility of the individual or organization creating those files. The creator of the filles shall hold Vendor harmless and protect Vendor from any and all copyright infringement, slander or other legal or illegal use conflicts that may arise. Vendor takes no responsibility for any files (legal or otherwise) created by users of this Software.

By installing this software, you acknowledge that you have read the above License Agreement and disclaimer and agree to its terms.
